HOW ARE EXCLUSIVE CONTRACTS CLASSIFIED UNDER THE LAW?!
From a legal standpoint, exclusive contracts for models and influencers are classified as service or agency contracts with elements that restrict competition. As a rule, they oblige the model or influencer to work exclusively with a specific agency or selected clients for the term of the contract and not to enter into any competing collaborations.
Such agreements are generally permissible, but they are subject to strict legal requirements, particularly in the creative and self-employed sector.
The first key point is how exactly the exclusivity is structured. It must clearly define which areas it covers – for example, only certain industries (beauty or fashion), certain markets, or all commercial activities. A blanket, unrestricted exclusivity is legally problematic, as it can disproportionately restrict a person’s professional activity.
Proportionality also plays a decisive role. Since models and influencers are usually self-employed, their economic freedom of action must not be unreasonably restricted. A comprehensive exclusive commitment without appropriate consideration in return – such as active placement, career development, or guaranteed income – can be deemed an unreasonable disadvantage and may be invalid.
The time limit is essential as well. Exclusive contracts must be limited to a reasonable period. Excessively long or open-ended commitments are legally questionable, especially in the fast-moving influencer and model market.
If the contract terms are pre-drafted standard terms, they are also subject to review as general terms and conditions (AGB) under §§ 305 et seq. BGB (German Civil Code). Clauses that unreasonably disadvantage models or influencers or are not worded transparently are invalid.
Post-contractual non-compete clauses are particularly sensitive. They are only valid if they are clearly limited in scope, duration, and territory and, as a rule, provide for financial compensation (Karenzentschädigung), since they restrict the person’s further professional activity.
